Terms of Service

Please read these Terms of Service ("Terms") carefully before using NotesXD ("the app", "we", "our"). NotesXD is operated by La Azotea Labs SpA. By downloading, installing, or using NotesXD, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using NotesXD, you agree to these Terms. If you do not agree to these Terms, you may not use the app. We reserve the right to update these Terms at any time. Continued use of the app after changes constitutes acceptance of the revised Terms.

2. Description of Service

NotesXD is a native macOS application that provides:

• Real-time audio transcription of meetings (microphone and system audio)
• Rich text note-taking and organization, with tasks that support optional priority and due dates
• AI-powered chat to interact with your notes and transcriptions
• A conversational voice mode that lets you talk to your notes to consult information and perform actions, with parity to the text chat
• Local file attachments (such as PDFs, images, and documents) and import, whose extracted text and visual content can be used as context for the AI features
• Task management extracted from your meetings
• Smart audio detection to suggest note-taking during conversations

NotesXD operates primarily on your local device. Some features, such as AI chat, require an internet connection and involve sending data to third-party AI service providers.

3. Beta Program

NotesXD is currently available as a beta product. This means:

• The app may contain bugs, errors, or incomplete features
• Features may change, be modified, or removed without notice
• We do not guarantee uninterrupted or error-free operation
• Data loss may occur — we recommend keeping important notes backed up

By participating in the beta, you acknowledge these limitations and agree to use the app at your own risk.

4. User Responsibilities

You agree to:

• Use NotesXD in compliance with all applicable laws and regulations
• Obtain all necessary consents before transcribing conversations with other participants
• Not use the app for any unlawful, harmful, or fraudulent purpose
• Not attempt to reverse engineer, decompile, or disassemble the app
• Not use the app to infringe on the rights of others

5. Transcription & Consent

NotesXD does not record audio. It transcribes conversations to text in real time, on your device, and the audio is discarded immediately — NotesXD never creates or stores audio files (such as .mp3 or .wav). That said, many jurisdictions have laws regarding capturing, intercepting, or transcribing conversations. Some require all-party consent, meaning every participant must agree before a conversation is transcribed. It is your sole responsibility to:

• Understand and comply with applicable consent laws in your jurisdiction
• Obtain all necessary permissions before transcribing any conversation
• Inform all participants that the conversation is being transcribed

NotesXD is not responsible for any unauthorized transcription. We provide the tool; you are responsible for how you use it.

5.1 User Responsibility & Transcription Consent

NotesXD operates exclusively as a technical tool for automated processing at the user's request. The platform does not use visible "bots" nor introduce audible alerts into meeting rooms. Therefore, it is the sole and exclusive responsibility of the user who activates the tool to ensure they have the explicit consent of all call participants to process the audio (transcribe it to text in real time, locally, without storing the audio), in accordance with local and international communications privacy laws (such as CIPA in the U.S. or equivalent regulations). NotesXD is exempt from any liability arising from unauthorized use of the platform in private meetings.

6. AI Features

NotesXD includes AI-powered features that process your note and transcription content through third-party AI providers. By using these features, you acknowledge that:

• Your content is sent to external AI services to generate responses
• AI-generated content may not always be accurate or complete
• You should review AI-generated summaries, minutes, and action items for accuracy
• We are not responsible for the accuracy of AI-generated content

6.1 AI & Voice Providers — Protected Use, No Model Training

The AI text chat and the conversational voice mode are powered by Google's Gemini generative AI services (the "Google AI services"). To deliver these features, the content you choose to submit — such as your message or question, relevant note or transcription context, and, for voice, your microphone audio — is transmitted to Google for processing and to generate the response. This processing happens in real time and only when you actively use a paid AI or voice feature. We send only the fragments of context needed to answer a given request — never your entire notes library. By contrast, real-time meeting transcription runs locally on your device using Apple's on-device speech recognition and is not sent to the cloud.

• Protected use: Requests are sent over encrypted connections. For the voice mode, the app connects to Google using a short-lived, single-use access token minted by our server, so long-term credentials are never exposed on your device.
• No model training: Your content is used solely to process your request and return a response. We do not use your notes, transcriptions, attachments, or voice audio to train AI models, and these features rely on Google's paid Gemini APIs, which — per Google's terms for those APIs — are not used by Google to train its models.
• No additional retention by us: We do not store copies of your AI prompts, voice audio, or AI responses on our servers; the resulting text is saved locally on your device as described in Section 7.1.
• Third-party terms: Your use of these features is also subject to Google's applicable terms and privacy policy. You are responsible for not submitting content you are not permitted to share with a third-party AI provider.

7. Intellectual Property

NotesXD and all associated intellectual property (including but not limited to software, design, logos, and trademarks) are owned by NotesXD and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the app for personal or business productivity purposes.

You retain full ownership of all content you create within NotesXD, including your notes, transcriptions, and tasks.

7.1 Ownership & Local Custody of Information

The user is the sole owner and custodian of the transcriptions, notes, and summaries generated by the service. NotesXD does not store, back up, or retain copies of the resulting texts on its cloud servers. All generated information is saved immediately and exclusively in the local storage of the user's device. The user acknowledges that if they erase their device's data or format their system, NotesXD will not be able to recover such information, as we have neither access to nor a copy of it.

8. Privacy

Your privacy is important to us. Please review our Privacy Policy for details on how we handle your information. By using NotesXD, you also agree to our Privacy Policy.

9. Disclaimer of Warranties

NotesXD is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

• The app will meet your specific requirements
• Transcriptions will be 100% accurate
• The app will be uninterrupted, timely, secure, or error-free
• Any defects will be corrected

10. Limitation of Liability

To the maximum extent permitted by applicable law, NotesXD and its creators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or business interruption, arising out of or in connection with your use of the app.

11. Termination

You may stop using NotesXD at any time by uninstalling the app. We reserve the right to suspend or terminate access to the app at any time, with or without cause, and with or without notice. Upon termination, your local data remains on your device.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law provisions. Any disputes arising from these Terms or the use of NotesXD shall be resolved in the appropriate courts of the jurisdiction in which NotesXD operates.

13. Subscriptions, Billing & Refunds

NotesXD offers a free tier and an optional paid subscription, NotesXD Pro, provided by La Azotea Labs SpA.

• Free trial: New installations include a 15-day free trial of Pro features. No payment is required to start the trial, and you can cancel at any time before it ends without being charged.
• Billing: After the trial, NotesXD Pro is billed on a recurring monthly basis at the price shown at checkout (currently US$9.99/month). Your subscription renews automatically at the end of each billing period unless cancelled.
• Payment processing: Payments are processed by our authorized reseller and Merchant of Record, Paddle.com. Your purchase is also subject to Paddle's Buyer Terms.
• Cancellation: You can cancel your subscription at any time. Cancellation takes effect at the end of your current billing period, and you will not be charged again after that.

13.1 Refund Policy

We offer a 14-day refund window. If you are not satisfied with your NotesXD Pro purchase, you can request a full refund within 14 days of the purchase date by contacting La Azotea Labs SpA at hello@notesxd.com or by submitting a request through Paddle. Approved refunds are issued to your original payment method.

Price changes: We may change subscription prices. Any change applies to future billing periods only, and we will notify you in advance where required by law.

Por favor, lee estos Términos de Servicio ("Términos") cuidadosamente antes de usar NotesXD ("la app", "nosotros", "nuestro"). NotesXD es operado por La Azotea Labs SpA. Al descargar, instalar o usar NotesXD, aceptas estos Términos.

1. Aceptación de los Términos

Al acceder o usar NotesXD, aceptas estos Términos. Si no estás de acuerdo, no debes usar la app. Nos reservamos el derecho de actualizar estos Términos en cualquier momento. El uso continuado de la app después de los cambios constituye la aceptación de los Términos revisados.

2. Descripción del Servicio

NotesXD es una aplicación nativa de macOS que proporciona:

• Transcripción de audio en tiempo real de reuniones (micrófono y audio del sistema)
• Toma de notas con texto enriquecido y organización, con tareas que admiten prioridad y fecha límite opcionales
• Chat con IA para interactuar con tus notas y transcripciones
• Un modo de voz conversacional que te permite hablar con tus notas para consultar información y ejecutar acciones, con paridad respecto al chat de texto
• Archivos adjuntos locales (como PDFs, imágenes y documentos) e importación, cuyo texto extraído y contenido visual pueden usarse como contexto para las funciones de IA
• Gestión de tareas extraídas de tus reuniones
• Detección inteligente de audio para sugerir tomar notas durante conversaciones

NotesXD opera principalmente en tu dispositivo local. Algunas funciones, como el chat con IA, requieren conexión a internet e implican el envío de datos a proveedores de servicios de IA de terceros.

3. Programa Beta

NotesXD está actualmente disponible como producto beta. Esto significa:

• La app puede contener errores, fallos o funciones incompletas
• Las funciones pueden cambiar, modificarse o eliminarse sin previo aviso
• No garantizamos un funcionamiento ininterrumpido o libre de errores
• Puede producirse pérdida de datos — recomendamos hacer copias de seguridad de las notas importantes

Al participar en la beta, reconoces estas limitaciones y aceptas usar la app bajo tu propia responsabilidad.

4. Responsabilidades del Usuario

Aceptas:

• Usar NotesXD de acuerdo con todas las leyes y regulaciones aplicables
• Obtener todos los consentimientos necesarios antes de transcribir conversaciones con otros participantes
• No usar la app para ningún propósito ilegal, dañino o fraudulento
• No intentar realizar ingeniería inversa, descompilar o desensamblar la app
• No usar la app para infringir los derechos de otros

5. Transcripción y Consentimiento

NotesXD no graba audio. Transcribe las conversaciones a texto en tiempo real, en tu dispositivo, y el audio se descarta de inmediato — NotesXD nunca crea ni almacena archivos de audio (como .mp3 o .wav). Dicho esto, muchas jurisdicciones tienen leyes sobre captar, interceptar o transcribir conversaciones. Algunas requieren el consentimiento de todas las partes, lo que significa que cada participante debe estar de acuerdo antes de que una conversación sea transcrita. Es tu exclusiva responsabilidad:

• Comprender y cumplir las leyes de consentimiento aplicables en tu jurisdicción
• Obtener todos los permisos necesarios antes de transcribir cualquier conversación
• Informar a todos los participantes de que la conversación está siendo transcrita

NotesXD no es responsable de ninguna transcripción no autorizada. Proporcionamos la herramienta; tú eres responsable de cómo la usas.

5.1 Responsabilidad del Usuario y Consentimiento de Transcripción

NotesXD opera exclusivamente como una herramienta técnica de procesamiento automatizado a petición del usuario. La plataforma no utiliza "bots" visibles ni introduce alertas auditivas en las salas de reunión. Por lo tanto, es responsabilidad única y exclusiva del usuario que activa la herramienta asegurarse de que cuenta con el consentimiento explícito de todos los participantes de la llamada para procesar el audio (transcribirlo a texto en tiempo real, de forma local y sin almacenar el audio), de acuerdo con las leyes locales e internacionales de privacidad de las comunicaciones (como la CIPA en EE. UU. o normativas equivalentes). NotesXD queda exento de cualquier responsabilidad derivada del uso no autorizado de la plataforma en reuniones privadas.

6. Funciones de IA

NotesXD incluye funciones impulsadas por IA que procesan el contenido de tus notas y transcripciones a través de proveedores de IA de terceros. Al usar estas funciones, reconoces que:

• Tu contenido se envía a servicios de IA externos para generar respuestas
• El contenido generado por IA puede no ser siempre preciso o completo
• Debes revisar los resúmenes, minutas y tareas generados por IA para verificar su precisión
• No somos responsables de la precisión del contenido generado por IA

6.1 Proveedores de IA y Voz — Uso Protegido, Sin Entrenamiento de Modelos

El chat de texto con IA y el modo de voz conversacional funcionan con los servicios de IA generativa Gemini de Google (los "servicios de IA de Google"). Para ofrecer estas funciones, el contenido que decides enviar — como tu mensaje o pregunta, el contexto relevante de la nota o transcripción y, en el caso de la voz, el audio de tu micrófono — se transmite a Google para procesarlo y generar la respuesta. Este procesamiento ocurre en tiempo real y únicamente cuando usas activamente una función de pago de IA o de voz. Solo enviamos los fragmentos de contexto necesarios para responder cada solicitud — nunca toda tu biblioteca de notas. En cambio, la transcripción de reuniones en tiempo real se realiza localmente en tu dispositivo mediante el reconocimiento de voz en el dispositivo de Apple y no se envía a la nube.

• Uso protegido: Las solicitudes se envían a través de conexiones cifradas. Para el modo de voz, la app se conecta a Google mediante un token de acceso de corta duración y de un solo uso, generado por nuestro servidor, de modo que nunca se exponen credenciales de largo plazo en tu dispositivo.
• Sin entrenamiento de modelos: Tu contenido se utiliza únicamente para procesar tu solicitud y devolver una respuesta. No usamos tus notas, transcripciones, archivos adjuntos ni audio de voz para entrenar modelos de IA, y estas funciones se apoyan en las APIs de pago de Gemini de Google, las cuales — según los términos de Google para dichas APIs — no son usadas por Google para entrenar sus modelos.
• Sin retención adicional por nuestra parte: No almacenamos copias de tus prompts de IA, audio de voz ni respuestas de IA en nuestros servidores; el texto resultante se guarda localmente en tu dispositivo, según se describe en la Sección 7.1.
• Términos de terceros: El uso de estas funciones también está sujeto a los términos y la política de privacidad aplicables de Google. Eres responsable de no enviar contenido que no estés autorizado a compartir con un proveedor de IA de terceros.

7. Propiedad Intelectual

NotesXD y toda la propiedad intelectual asociada (incluyendo, pero no limitado a, software, diseño, logos y marcas) son propiedad de NotesXD y sus licenciantes. Se te otorga una licencia limitada, no exclusiva e intransferible para usar la app con fines de productividad personal o empresarial.

Conservas la propiedad total de todo el contenido que creas dentro de NotesXD, incluyendo tus notas, transcripciones y tareas.

7.1 Propiedad y Custodia Local de la Información

El usuario es el único propietario y custodio de las transcripciones, notas y resúmenes generados por el servicio. NotesXD no almacena, respalda ni conserva copias de los textos resultantes en sus servidores en la nube. Toda la información generada se guarda de manera inmediata y exclusiva mediante almacenamiento local en el dispositivo del usuario. El usuario reconoce que, si borra los datos de su dispositivo o formatea su sistema, NotesXD no podrá recuperar dicha información al no tener acceso ni copia de la misma.

8. Privacidad

Tu privacidad es importante para nosotros. Consulta nuestra Política de Privacidad para obtener detalles sobre cómo manejamos tu información. Al usar NotesXD, también aceptas nuestra Política de Privacidad.

9. Renuncia de Garantías

NotesXD se proporciona "tal cual" y "según disponibilidad", sin garantías de ningún tipo, ya sean expresas, implícitas o legales. Renunciamos específicamente a todas las garantías implícitas de comerciabilidad, idoneidad para un propósito particular y no infracción. No garantizamos que:

• La app cumpla con tus requisitos específicos
• Las transcripciones sean 100% precisas
• La app funcione de manera ininterrumpida, oportuna, segura o libre de errores
• Los defectos serán corregidos

10. Limitación de Responsabilidad

En la medida máxima permitida por la ley aplicable, NotesXD y sus creadores no serán responsables de ningún daño indirecto, incidental, especial, consecuente o punitivo, incluyendo, pero no limitado a, la pérdida de datos, pérdida de ganancias o interrupción del negocio, que surja de o en relación con el uso de la app.

11. Terminación

Puedes dejar de usar NotesXD en cualquier momento desinstalando la app. Nos reservamos el derecho de suspender o terminar el acceso a la app en cualquier momento, con o sin causa, y con o sin previo aviso. Tras la terminación, tus datos locales permanecen en tu dispositivo.

12. Ley Aplicable

Estos Términos se regirán e interpretarán de acuerdo con la ley aplicable, sin tener en cuenta las disposiciones sobre conflicto de leyes. Cualquier disputa que surja de estos Términos o del uso de NotesXD se resolverá en los tribunales apropiados de la jurisdicción en la que opera NotesXD.

13. Suscripciones, Facturación y Devoluciones

NotesXD ofrece un nivel gratuito y una suscripción de pago opcional, NotesXD Pro, provista por La Azotea Labs SpA.

• Prueba gratuita: Las instalaciones nuevas incluyen una prueba gratuita de 15 días de las funciones Pro. No se requiere pago para iniciar la prueba, y puedes cancelar en cualquier momento antes de que termine sin que se te cobre.
• Facturación: Tras la prueba, NotesXD Pro se cobra de forma recurrente mensual al precio mostrado en el checkout (actualmente US$9.99/mes). Tu suscripción se renueva automáticamente al final de cada período de facturación a menos que la canceles.
• Procesamiento de pagos: Los pagos son procesados por nuestro revendedor autorizado y Comerciante de Registro (Merchant of Record), Paddle.com. Tu compra también está sujeta a los Términos de Comprador de Paddle.
• Cancelación: Puedes cancelar tu suscripción en cualquier momento. La cancelación surte efecto al final de tu período de facturación actual, y no se te volverá a cobrar después de eso.

13.1 Política de Devoluciones

Ofrecemos un plazo de devolución de 14 días. Si no estás satisfecho con tu compra de NotesXD Pro, puedes solicitar un reembolso completo dentro de los 14 días posteriores a la fecha de compra contactando a La Azotea Labs SpA en hello@notesxd.com o enviando una solicitud a través de Paddle. Los reembolsos aprobados se emiten a tu método de pago original.

Cambios de precio: Podemos cambiar los precios de suscripción. Cualquier cambio se aplica solo a períodos de facturación futuros, y te notificaremos con antelación cuando la ley lo exija.
